| End user is responsible for providing accurate, timely and complete information to us in connection with registration for and use of the Site. DJI is not responsible for any claims relating to any inaccurate, untimely, or incomplete information provided by End user. End user represents and warrants that End user has the right to provide any information or materials (including pre-existing materials) posted or transmitted for use by End user on the Site. End user s hereby grants DJI an irrevocable, royalty-free, perpetual, non-exclusive worldwide license to use, copy, display, modify, edit, and/or create derivative works from and distribute any information or materials posted by End user on the Site. Further, DJI does not endorse or make any representations regarding the reliability of the Verification Service. |

| Billing and Payment Policy | ||||||||||||||||||
| Companies are obligated to pay for use of the Site unless specifically notified otherwise. DJI will charge End user’s credit card according to the agreed-upon fee between DJI and End user for use of the services of the Site. While DJI will use its best efforts to ensure the privacy of all credit cards and all other personal information, DJI expressly disclaims any liability for any damage that may result should any information be released to any third parties. DJI will use a third party service to process End user’s credit card information. For further information regarding that service, please contact DJI s credit card processing company. End user agrees to hold DJI harmless for any damages that may result from the disclosure of credit card and personal information to third parties. | ||||||||||||||||||
| Modification of the Terms of this Agreement | ||||||||||||||||||
DJI reserves the right to make changes to this Agreement from time to time at its sole discretion. DJI shall provide notice to End user s of any substantive and/or material changes to this Agreement or any policies posted on the Site by posting said changes on the Site. End user agrees that such changes will become effective upon posting, and that upon posting, End user will be subject to the posted terms as if they were incorporated herein. |

| Term of Agreement | ||||||||||||||||||

This Agreement will become effective immediately upon any use of the Site by End user and shall remain effective unless terminated by either party as provided hereunder. Either party may terminate this Agreement between any user by providing the other with written or email notice of such termination which shall be effective immediately upon delivery of such notice to the other party. Furthermore, DJI may terminate this Agreement immediately for any breach of this Agreement or any applicable policy of DJI as posted on the Site from time to time. This Proprietary Material is protected in all forms, media and technologies now known or hereinafter developed. End user may not copy or use any of these marks, logos, or trade names without the prior written permission of the owner of such mark, logo or trade name. |

| In addition to the applicable provisions of these Terms of Use, DJI s Privacy Statement is located on the Site, as modified by DJI from time to time, shall govern any disclosure or use of End user Information. | Copyright Complaints and Copyright Agent | ||||||||||||||||||
| DJI respects the intellectual property of others, and asks End user s to do the same. In accordance with the Digital Millennium Copyright Act, and in order to protect intellectual property from misuse, DJI asks End user s to help protect their intellectual property. If End user believes, in good faith, that any materials on the Site infringe upon End user s copyrights, please provide DJI s Copyright Agent with the following information: (i) An electronic or physical signature of the owner of the copyright or the person authorized to act on behalf of the owner of the copyright interest (ii) A description of the copyrighted work that End user claims has been infringed, including the URL (Internet address) or other specific location on the site where the material End user claims is infringed is located. Include enough information to allow DJI to locate the material and explain why End user thinks an infringement has taken place (iii) A description of the location where the original or an authorized copy of the copyrighted work exists -- for example, the URL (Internet address) where it is posted or the name of the book in which it has been published (iv) End user s address, telephone number and e-mail address (v) A statement by End user that End user has a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law and (vi) A statement by End user , made under penalty of perjury, that the information in the notice contemplated herein is accurate, and that End user is the copyright owner or authorized to act on the copyright owner s behalf. | DJI and End user are not legally affiliated in any way by virtue of End user’s membership or usage of the Site. No independent contractor, agency, partnership, joint venture, employer-employee or franchiser-franchisee relationship is intended or created by this Agreement. DJI is not an employment service and does not serve as an employer of the Professionals that may use this Site. | ||||||||||||||||||

| END USER EXPRESSLY AGREES THAT THE USE OF THIS SITE IS AT THE END USER S SOLE RISK. NEITHER DJI NOR ITS AFFILIATES OR LICENSORS WARRANT THAT THE SITE WILL not BE UNINTERRUPTED OR ERROR-FREE NOR DO THEY MAKE ANY WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SITE, OR AS TO THE ACCURACY, RELIABILITY OR CONTENT OF ANY INFORMATION, SERVICE OR MERCHANDISE PROVIDED THROUGH THE SITE. END USER AGREES TO HOLD DJI HARMLESS FROM ANY LOSS OR DAMAGE OF ANY SORT INCURRED AS A RESULT OF ANY SUCH MISAPPROPRIATION, INTERCEPTION, DELETION, DESTRUCTION OR USE OF END USER INFORMATION. END USER S EXPRESSLY AGREE TO INDEMNIFY AND HOLD HARMLESS DJI FROM AND AGAINST ANY CLAIM OF WHATSOEVER TYPE OR NATURE ARISING FROM CONDUCTING BACKGROUND CHECKS ON END USER S, INCLUDING HIRING ANY ANDUSER BASED, IN WHOLE OR IN PART, ON THE RESULTS OF SUCH A BACKGROUND CHECK.DJI, ITS AFFILIATES AND LICENSORS SHALL NOT BE LIABLE FOR ANY CLAIM, INJURY OR DAMAGE ARISING FROM THE USE OF THE SITE OR INFORMATION CONTAINED THEREIN, OR ANY INABILITY TO USE THE SITE. | ||||||||||||||||||

| End user agrees to hold DJI, its agents, representatives, affiliates, advertisers, employees, officers, directors, independent contractors, licensors, attorneys and assigns harmless for any claim, loss, expense or demand of liability of whatever kind arising out of: (i) End user s use of the Site (ii) any advice or services delivered which originated through the Site or otherwise provided by a Professional or Company (iii) materials, information and content submitted, posted or transmitted through the Site by any End user (iv) any use of the Site in violation of these Terms of Use and Privacy Statement incorporated herein by reference. Under no circumstances will DJI, its agents, representatives, affiliates, advertisers, employees, officers, directors, independent contractors, licensors, attorneys or assigns be liable to End user for any indirect, incidental, consequential, special or exemplary damages arising from any provision of this Agreement. Furthermore, the aggregate liability of DJI, its agents, representatives, affiliates, advertisers, employees, officers, directors, independent contractors, licensors, attorneys and assigns with respect to this Agreement and the Site will not exceed the total amounts paid by End user in the previous twelve (12) months under this Agreement. Any notice or other communication to be given hereunder will be in writing and given by facsimile, postpaid registered or certified mail return receipt requested, or electronic mail with verified delivery. | ||||||||||||||||||
| Indemnification | ||||||||||||||||||
End user agrees to indemnify, defend and hold harmless DJI, its agents, representatives, affiliates, advertisers, employees, officers, directors, independent contractors, licensors, attorneys and assigns from and against any and all claims, loss, expense or demand of liability, including attorneys fees and costs incurred in connection with any claim by a third party arising out of: (i) materials and content End user submits, posts or transmits through the Site, or (ii) use of the Site in violation of these Terms of Use or in violation of any applicable law. End user further agrees to cooperate as reasonably required in the defense of such claims. DJI, its agents, representatives, affiliates, advertisers, employees, officers, directors, independent contractors, licensors, attorneys and assigns reserve the right, at their own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by End user , and End user shall not, in any event, settle any claim or matter without the written consent of DJI. End user further agrees to hold harmless DJI, its agents, representatives, affiliates, advertisers, employees, officers, directors, independent contractors, licensors, attorneys and assigns from any claim arising from a third party s use of information or materials of any kind posted by End user on the Site.

| In the event of a dispute between one or more End user s, End user releases DJI, its agents, representatives, affiliates, advertisers, employees, officers, directors, independent contractors, licensors, attorneys and assigns from claims, demands or damages (actual or consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes. | ||||||||||||||||||
| Choice of Law and Venue | ||||||||||||||||||
| This Agreement shall be construed under and governed by the laws of the State of Texas, notwithstanding any conflict of laws and principles that would require application of the laws of another jurisdiction. The parties agree that venue in any legal proceeding arising out of or relating to this Agreement will exclusively be in the state or federal courts located in Austin, Texas. With regard to such disputes, End user expressly agrees (i) submit to the exercise of personal jurisdiction over them by the state or federal courts in Austin, Texas and (ii) waive any jurisdictional, venue or inconvenient forum objections to such courts. | ||||||||||||||||||
| Waiver

||||||||||||||||||
| Failure by DJI to enforce any provision(s) of these Terms of Use shall not be construed as a waiver of any provision or right. | ||||||||||||||||||
| Miscellaneous

| These Terms of Use, the Privacy Statement, constitute the entire agreement between End user and DJI with respect to the Site, and End user has not relied upon any promises or representations by DJI with respect to the subject matter herein. If any provision of these Terms of Use is found to be invalid or unenforceable, the remaining provisions shall be enforced to the fullest extent possible, and the remaining Terms of Use shall remain in full force and effect. These Terms of Use inure to the benefit of DJI, its successors and assigns. This Agreement will be binding on and will inure to the benefit of the legal representatives, successors and assigns of the parties here to. |
